1. Introduction & Acceptance

Welcome to Technoblick. These Terms & Conditions govern your use of our website and all digital services provided by our agency. By paying an invoice, signing a contract, or providing written approval to commence work, you (the "Client") agree to be legally bound by these terms. If you do not agree to these terms, please do not use our services.

2. Definitions

• "Agency", "We", "Us": Refers to Technoblick and its employees, contractors, and affiliates.
• "Client", "You": Refers to the individual or business entity engaging our services.
• "Deliverables": The final products, code, designs, or campaigns produced by the Agency.

3. Scope of Services

Technoblick offers a comprehensive suite of digital solutions. The exact scope of your project will be defined in a formal Proposal, Quote, or Statement of Work (SOW). Our primary service categories include:

4. Revisions & Approvals

We want you to be thrilled with the final result. Unless otherwise stated in your specific SOW, standard projects include two (2) rounds of revisions during the design/development phase.

• Additional revisions beyond the agreed scope will be billed at our standard hourly rate.
• Once a project phase is explicitly approved by the Client, requests to change that specific phase later may incur additional costs.

5. Client Responsibilities

Project timelines depend heavily on client responsiveness. The Client agrees to:

• Provide all necessary text, images, server access, and credentials requested by the Agency in a timely manner.
• Review deliverables and provide consolidated feedback within 3-5 business days of receipt.
• Ensure they own the copyright or have licenses for any assets (images, text) provided to the Agency for use in the project.

6. Payments, Refunds & Billing

• Late Payments: Invoices are due within 14 days. Accounts unpaid after 30 days may incur a late fee of 5% per month. The Agency reserves the right to suspend services or withhold final files until payment is made in full.
• Refunds: Due to the custom nature of our work and time invested, payments made for services already rendered are non-refundable.
• Third-Party Costs: The Client is responsible for any third-party expenses (e.g., domain registration, hosting, premium plugins, Google Ads spend) unless explicitly included in our proposal.

7. Intellectual Property

Upon full clearing of all final payments, the intellectual property rights to the final custom designs, website source code, and graphics created specifically for the Client will be transferred to the Client.

Technoblick retains the right to display the completed work, screenshots, and links in our portfolio, case studies, and social media for marketing purposes, unless a strict Non-Disclosure Agreement (NDA) is executed prior to the project start. We retain ownership of any pre-existing code libraries or proprietary frameworks used to build the project.

8. Confidentiality

Both parties agree to keep all sensitive business information, trade secrets, customer data, and proprietary concepts disclosed during the project strictly confidential. The Agency takes data privacy seriously and will not share your credentials or backend data with unauthorized third parties.

9. Termination of Services

Either party may terminate the project given a 14-day written notice.

• If the Client terminates the project, they will be billed for all work completed up to the date of cancellation. The initial deposit remains non-refundable.
• If the Agency terminates the project without cause, a prorated refund will be issued for work not completed.
• Dormancy: If a Client fails to respond to communication for more than 30 days, the project will be considered abandoned. A reactivation fee may apply to resume work.

10. Limitation of Liability

Technoblick strives for excellence, but we do not guarantee that our software will be entirely error-free or immune to third-party hacking attempts post-launch.

In no event shall the Agency be held liable for lost profits, loss of business data, search engine ranking drops, or incidental, indirect, or consequential damages arising from the use or inability to use our deliverables. Our maximum liability to the Client shall not exceed the total fees paid by the Client for the specific project in question.
